Yanzhou Coal Mining Company Limited ("Yanzhou Coalorthe"Company") is a domestic and overseas listed company, which was established on 25th September, 1997 and solelysponsored by Yankuang Group Corporation Limited (the"ParentCompany").
The Company was listed on The Stock Exchange of Hong Kong Limited (the "Hong Kong Stock Exchange") on 1st April, 1998 and the New York Stock Exchange on 31st March, 1998, pursuant to a combined offering (the "Combined Offering") of its H shares ("H Shares") and American depositary receipts ("ADSs", each representing 50 H Shares) respectively. On 1st July 1998, the Company listed its A shares ("A shares") on the Shanghai Securities Exchange (the "A share Offering").
